What is Regulation Crowdfunding?
The JOBS ACT
Since the enactment of Title III of the JOBS Act, signed by President Obama, companies have been able to raise capital under Regulation Crowdfunding (Reg CF). This regulation greatly broadened the scope of investors allowed to participate in private company fundraising, with companies now able to raise up to $5 million per calendar year from both accredited and non-accredited investors.
Why is it important?
Traditionally, private investments were restricted to accredited investors, typically individuals with a net worth exceeding $1 million (excluding their primary residence). This limitation meant that fewer than 10% of American citizens could invest in private companies on a broad scale. However, Title III of the JOBS Act changed this landscape. By waiving the accredited investor requirement for Reg CF offerings, it opened up investment opportunities to everyday Americans.
